Affiliate Agreement

ARTICLE I - Contractor Responsibilities

The Contractor shall be solely responsible for all expenses incurred in connection with referral operations and promotional activities.

• Advertising, marketing, and promotional costs.
• Personnel and staffing expenses.
• Office operations including rent, taxes, phone bills, postage, forms, flyers, and administrative expenses.
• Use of the "EliteHomeImprovement" and "EliteBizPanel" names only in approved formats authorized by the Company.
• The Contractor may not obligate the Company for liabilities under any circumstance.

ARTICLE II - Gross Payout to the Contractor

Contractors will receive a dynamic payout per accepted lead meeting lender requirements and ping/post specifications. Website affiliate referrals may receive up to $10 per lead.

All API configurations must be pre-approved and operate with valid SSL certification approved by EliteHomeImprovers.com.

The Auto Lender reserves the right to reject or return leads that are duplicate, fraudulent, unsubscribed, or contain invalid information.

Returns are processed between the 15th and 20th day following the end of each calendar month.

ARTICLE III - Obligations of the Company

• The Company will pay all approved sums due to the Contractor.
• Financial records will be maintained and updated monthly.
• Contractors operate as independent contractors and will receive a 1099 form where applicable.
• No guarantees are made regarding uninterrupted website operation.

ARTICLE IV - Mutual Representations & Warranties

Both parties agree to comply with all Federal, State, and Local laws and regulations.

Neither party may legally bind the other without prior written authorization.

Each party remains solely responsible for actions and omissions made by their own employees or representatives.

ARTICLE V - Termination

Contractors may receive confidential or proprietary information belonging to the Company or third parties.

Such information must remain confidential during and after the agreement period.

The Company reserves the right to terminate this Agreement at its sole discretion.

ARTICLE VI - Miscellaneous Provisions

• This Agreement may not be transferred without written approval.
• This document represents the full agreement between both parties.
• Modifications must be made in writing and signed.
• This Agreement shall be governed by the laws of the State of New York.
• If any provision becomes invalid, remaining provisions remain enforceable.
